Challenge: When Royal Dutch Shell (through its acquisition vehicle Shell Investments Limited) launched its bid to buy out the minority shareholders of Shell Canada Limited, the reaction of certain key shareholders was immediate, vociferous and negative. They argued that the offer was significantly below the true value of Shell Canada, irrespective of the conclusion reached by Shell Canada's special committee that, based on an independent valuation, the offer was fair from a financial point of view.
Solution: The Royal Dutch Shell advisory team
(including Morgan Stanley and Scotia Waterous) decided that
Kingsdale should be the sole advisor to communicate with Shell
Canada shareholders, including retail, institutional, hedge
funds and arbitrageurs. Kingsdale used its expertise to identify
key shareholders and to quickly and effectively address dissenting
opinions.
Result: Royal Dutch Shell held firm on its offer and received the support of sufficient Shell Canada investors that the transaction was successfully concluded. |
