Challenge: Former members of the company’s
management filed a dissident proxy circular to recommend replacement
of the current board only a few days before the AGM. The meeting
was adjourned to allow shareholders time to consider the dissident
filing.
Solution: Kingsdale Shareholder Services immediately
began the campaign to identify institutional shareholders and
their voting patterns. Using this knowledge, Kingsdale was able
to persuade major shareholders to change their vote in support
of the current board.
Result: The dissident group was defeated by
a vote of 81.8% in support of keeping the current board. |
