Goldcorp Inc.

Challenge: A routine Plan of Arrangement between
Goldcorp Inc. and Wheaton River Minerals was usurped just weeks
before closing by an announcement from Glamis Gold Corporation
of a hostile bid for Goldcorp. Glamis filed a dissident circular
to solicit votes against the Wheaton-Goldcorp merger.
Solution: Kingsdale Shareholder Services was
retained to assist in ensuring the success of the Wheaton-Goldcorp
merger while fending off the hostile takeover by Glamis. Kingsdale
identified institutional holders and tracked the vote pattern
to identify voting against the merger. Working closely with
the deal-team, contact was made to large shareholders voting
against the merger to reverse their votes and support the transaction.
Result: The transaction received 65% approval
based on 62.57% of outstanding shares voted. |
